Systems in Sync™ Audit - Terms of Service
By purchasing this service, you ("Client") agree to retain A Clever Cat ("Service Provider") for a Systems in Sync™ Audit, and agree to the terms and conditions as set forth in this Agreement.
Service Description: The Systems in Sync™ Audit is a strategic diagnostic service designed to analyze the Client's business operations and produce a "Scalable Roadmap" report. The service includes a deep-dive analysis of the Client's systems, a personalized video walkthrough of the findings, and a 45-60 minute Debrief & Strategy Call.
Payment Terms: Payment for this service is as specified in the purchased product ("Product") and is due in full before the service commences.
Service Scope: This agreement covers the services included in the Systems in Sync™ Audit package as described on the sales page. The primary deliverables are the "Scalable Roadmap" PDF report and the personalized video walkthrough. Any implementation work or services beyond the scope of this diagnostic audit will require a separate agreement and additional fees.
Client Responsibilities: To ensure a timely and effective audit, Client agrees to provide all necessary information via the Intake Questionnaire, including access to relevant systems (e.g., Simplero), in a timely manner. The Service Provider is not responsible for delays caused by incomplete or late information.
Scheduling & Validity: The Debrief & Strategy Call may be rescheduled by the Client with at least 24 hours' written notice. The entire Audit service, including the final call, must be completed within 30 days of the original purchase date.
Non-Refundable Policy: Due to the front-loaded, strategic nature of this service, all payments are non-refundable once the Service Provider has commenced the analysis. If the Client wishes to cancel before the analysis has begun, the fee may be applied as a credit toward another service.
Errors & Omissions: Service Provider will perform the analysis with professional care and diligence. This service is a strategic diagnosis based on the information and access provided by the Client. The Service Provider is not responsible for outcomes resulting from the Client's implementation of the roadmap, as implementation is outside the scope of this service.
Limitation of Liability: Neither party will be responsible for indirect damages like lost profits, business opportunities, or other consequential losses that might result from this agreement. If something goes wrong, Service Provider's total financial responsibility will be limited to the amount paid for the Audit service. Force majeure applies to circumstances beyond reasonable control. Limitations don't apply in cases of confidentiality breaches, intellectual property infringement, or deliberate misconduct by either party.
Intellectual Property: The "Scalable Roadmap" report and all associated deliverables created during the Audit become the property of the Client upon delivery. Client may use these materials in any way they see fit. Service Provider shall be entitled to display non-confidential aspects of the process or results (e.g., a testimonial or a generalized case study) in their portfolio, on their website, or for any other business marketing purposes, with Client's consent.
Governing Law: This agreement is governed by the laws of the State of Texas.
Deliverables & Guarantee: Service Provider guarantees the delivery of the "Scalable Roadmap" report, the video walkthrough, and the Debrief & Strategy Call as described. The value of this service is in the strategic diagnosis and the delivery of this expert plan. The outcome of any subsequent implementation of the plan is not guaranteed as it is dependent on factors outside the scope of this service.
By purchasing the Systems in Sync™ Audit service, Client acknowledges they have read, understood, and agree to these terms.
