VIP Day Terms of Service

By signing this agreement, you ("Client") agree to retain A Clever Cat ("Service Provider") for an approximately 8-hour implementation sprint service, referred to as "VIP Day," and agree to the terms and conditions as set forth in this Agreement.

During the VIP Day, Service Provider agrees to devote approximately 8 hours on assignments determined by Client, along with a 30-minute pre-intensive strategy call ("Kickoff Call"), 1 hour of post-intensive refinements , and 14-days of post-intensive email support. Work will be performed remotely unless otherwise agreed upon. Work priority and scheduling will be at the discretion of the Client. Work will occur between the hours of 8:00 AM - 5:00 PM CST on weekdays.

Payment Terms: Payment for these services is as specified in the purchased product ("Product"). A 50% non-refundable deposit is required at the time of booking, with the balance due on the day of service. Client may choose to pay in full at the time of booking.

Service Scope: This agreement covers only the services agreed upon for the VIP Day during the Kickoff Call. Any additional work beyond the scope of this intensive session will require a separate agreement and additional fees.

Post-Intensive Support: Following the VIP Day, Client will receive one (1) hour of post-VIP Day work for tweaks or refinements plus 14 days of email support starting the day after the intensive. The Bonus Hour must be used within 14 days of the actual VIP day or will become forfeit. Client may reach out via email for questions or guidance related to the work completed during the session.

Responses will be provided via email and/or video tutorials as appropriate. This support does not include additional work beyond what was completed in the VIP Day plus the one (1) allocated hour. If additional work is required, Client may book another VIP Day or Focus Block.

Rescheduling & Validity: Client may reschedule the VIP Day with at least five (5) days' written notice up to three (3) times. The purchase is valid for 90 days from the booking date and must be used within this timeframe.

Non-Refundable Policy: Due to the nature of this service, all payments are non-refundable. However, Client may transfer the VIP Day to a different date or apply it toward another service within the 90-day validity period.

Errors & Omissions: Service Provider will perform services with professional care but does not guarantee error-free work. Errors identified within the 14-day support period will be corrected at no charge if within the original scope. Any time spent correcting errors in the original work will be provided at no additional charge and will not count toward or reduce the one-hour post-VIP Day support allocation.

Limitation of Liability: Neither party will be responsible for indirect damages like lost profits, business opportunities, or other consequential losses that might result from this agreement. If something goes wrong, Service Provider's total financial responsibility will be limited to the amount paid for the VIP Day service. Force majeure applies to circumstances beyond reasonable control. Limitations don't apply in cases of confidentiality breaches, intellectual property infringement, or deliberate misconduct by either party.

Intellectual Property: All work created during the VIP Day will remain the property of the Client. Client may use the materials produced in any way they see fit. Service Provider shall be entitled to display non-confidential aspects of Work Product in their portfolio, on their website, or for any other business marketing purposes. 

Governing Law: This agreement is governed by the laws of the State of Texas.

Deliverables: Client understands and agrees that by booking a VIP day, they are booking Service Provider's expertise for the day, not a set of guaranteed deliverables. While service Provider will make best efforts to accomplish Client's goals, the final outcome depends on various factors including, but not limited to:

• complexity of requested tasks

• Client's preparedness and responsiveness during the VIP Day

• and the scope of work relative to the time available. 

By purchasing the VIP Day service, Client acknowledges they have read, understood, and agree to these terms.
